1. About this platform
Sandal ‘n Shoe Trade operates a business-to-business (B2B) wholesale marketplace for footwear and related accessories, connecting verified suppliers and factory-direct brands with retailers, distributors and institutional buyers. The business is registered in Dhaka, Bangladesh under Trade Licence No. TRAD/DSCC/018597/2021 issued by Dhaka South City Corporation.
2. Accounts and eligibility
To place wholesale orders you must register an account and provide accurate business information, including a valid trade licence, TIN, contact details and shipping address where applicable. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. We may verify submitted information and reserve the right to decline or suspend accounts that appear inaccurate, incomplete or misused.
3. Products and pricing
Product images, colours, materials and specifications on the site are provided in good faith. Actual products may vary slightly due to manufacturing tolerances, batch differences or screen calibration; such variations do not constitute grounds for return unless they are material. Wholesale prices, minimum order quantities and any bundled discounts are shown on the respective product pages and are subject to change without prior notice. Prices confirmed in an accepted order remain valid for that order only.
4. Orders and acceptance
The submission of an order through the site constitutes an offer to purchase. Orders are considered accepted only when we issue a written confirmation (email, in-account message or WhatsApp acknowledgement). We reserve the right to decline or partially fulfil any order, including where stock is insufficient, where pricing has been listed in error, or where the buyer does not meet the criteria for the requested quantity or SKU.
5. Payment
Accepted payment methods include bKash, Nagad, bank transfer, and cash on delivery for eligible orders. Payment terms for each order are confirmed at the time of order acceptance. Late payment on invoiced orders may attract a service fee and can result in suspension of further shipments until the outstanding balance is cleared.
6. Delivery, returns and refunds
Delivery timelines, shipping charges and handling of damaged or undelivered parcels are set out in our Shipping Policy. Returns, size exchanges and refund eligibility are governed by our Refund and Returns Policy. Both documents form part of these Terms and Conditions.
7. Vendor listings
Certain products on the platform are listed and fulfilled by independent third-party vendors. While we verify vendors before onboarding and monitor performance on an ongoing basis, each vendor is responsible for the accuracy of its listings and for fulfilling accepted orders. Disputes with a vendor should first be raised through the in-platform messaging system; our support team will assist in mediating and, where appropriate, invoking buyer-protection remedies.
8. Intellectual property
Brand names, trademarks and product designs shown on the platform remain the property of their respective owners. Content on the site (including layouts, imagery, product photography and written copy) is the property of Sandal ‘n Shoe Trade or its licensors and may not be reproduced without prior written permission, except for the reasonable operational use expected of a wholesale customer.
9. Acceptable use
You agree not to use the platform to submit false or misleading information, to attempt to gain unauthorised access to other accounts, to circumvent verification steps, or to resell counterfeit merchandise represented as sourced from the site. We reserve the right to suspend or terminate accounts that engage in such conduct and to pursue any remedies available under law.
10. Limitation of liability
To the maximum extent permitted by applicable law, Sandal ‘n Shoe Trade’s aggregate liability arising from or connected with any order is limited to the amount actually paid for that order. We are not liable for indirect, consequential or lost-profit damages, including business interruption arising from delayed delivery or product unavailability.
11. Privacy
Personal information collected through the platform is handled in accordance with our Privacy Policy, which forms part of these Terms and Conditions.
12. Changes to these terms
We may update these Terms and Conditions from time to time. The date of the most recent revision is shown at the top of this page. Material changes will be communicated through the site or by direct notice to registered account holders. Continued use of the platform after an update constitutes acceptance of the revised terms.
13. Governing law and jurisdiction
These Terms and Conditions are governed by the laws of the People’s Republic of Bangladesh. Any dispute arising out of or in connection with the platform, an order, or these terms shall be submitted to the exclusive jurisdiction of the courts of Dhaka.
